Merchant Terms and Conditions

Hello and welcome to Gelio. These Terms and Conditions form the legal basis of the contract between you, the Merchant and us, Gelio. We care about you as our customer and would like to do all we can to help you successfully use Gelio to add value to your business. If you are unsure about anything or require further clarification, please do not hesitate to contact us.

Acceptance

If you use Gelio then you accept and agree to these terms. We reserve the right to change them at any time but we will always notify you of anything other than minor changes to wording. The most current version will be available on the website. By continuing to use us you accept any changes.

You agree that you have the authority to enter into this contract on behalf of your organisation and that you will be responsible for the management of users within your organisation and their use of Gelio.

Offer Terms

We have defined a set of General Offer Terms, available on our website at gelio.com/legal/offer-terms. You specify the commercial and other terms of your offers, for instance any discount, times of validity etc.

You are also free to add your own special conditions, for instance ‘everyone claiming the offer must be 18 years or older’ but your conditions must not conflict with the General Offer Terms.

You are responsible for any terms or conditions that you add.

Offer Validity

All claimed offers are considered binding, so if a customer claims an offer and presents a verification screen within the validity period, then you have to honour it.

You may edit an offer before it goes live, although once live you cannot edit, change or cancel any offers. In some cases we reserve the right to cancel or make changes to live offers where it is that clear you, the merchant have made a mistake. All merchants will be prompted to preview all offer details prior to live publishing. If you notice any mistakes after publishing you must contact us immediately. Example you publish a (20 for 1 Offer instead of a 2 for 1 Offer).

Billing

There are selection of account packages for you to choose from; Intro, Pro and Plus. Each package is unique and has different inclusions to suit each business. Our pricing plans are available to view on our website. If you have any questions regarding which plan would be suitable for your business please contact us at any time to discuss this.

All plans apart from Intro have a monthly subscription fee, which is payable monthly from the account or card of your choosing upon sign up.

You pay for claimed offers according to your price plan. Customers have to explicitly claim an offer before we assign them a verification screen; we charge you once they visit your business whether or not they use that specific offer once there. We will investigate any persistent non-use or abuse of the platform from customers and / or merchants.

We will take payment monthly on the 28th.

If we do not receive payment by the time we issue your next bill then both will become payable immediately. If you have 3 or more monthly bills outstanding for payment we will charge you 1.5% interest monthly until all arrears are cleared.

If you don’t pay your outstanding bills on time, we may stop you from accessing our service until these payments have been settled.

All prices are exclusive of VAT, which will be added at the current rate.

Intellectual Property

Gelio owns the website, app, native apps, software, domains, content and everything else here. It is all protected by UK and International Copyright and Intellectual Property Laws.

We are really happy that you have chosen to use us and grant you a limited licence to use all the above within our framework. You may not sell, export, licence, modify, copy, reverse engineer, distribute or transmit any of the above without our express written consent. Except any marketing we do, feel free to distribute and transmit that as much as you like as long as it’s credited to us.

If you break this (or any other) rule we may terminate your account and any benefits associated with your account may be lost. We may also seek damages for any harm you may cause us.

Our name, logo, graphics and icons are all trademarked and ours so please don’t use them without permission. We grant you permission to use all of the above in any marketing or advertising campaign that highlights your use of our service.

Your logo and any other images or descriptions you upload on our site remain your intellectual property and you are responsible for their protection. We may use them to as part of marketing to promote our services.

You are responsible for the accuracy of anything you upload to Gelio.

We own all generated verification screens and they may not be re-sold.

Emails

From time to time we may send you emails about us, our products, what we can do to help your business or add value to your brand. We won’t bombard you and you can unsubscribe from marketing emails at any time.

We will continue to send you billing, legal and other important communications whilst you remain a customer.

Conduct

You agree not to do anything that may in any way interfere with Gelio or any infrastructure it works on. This includes but is not limited to things like uploading code or viruses or trying to tamper with our servers.

We will do our best to keep Gelio up and running at all times. We may need to interrupt the service now and again for maintenance or changes but we will try to minimise the impact of these. We may change the site or update the app at any time.

Legality

You as a business certify that you are legally entitled to provide the products and services that you promote through Gelio.

You are responsible for sticking to local and national laws whilst using our service.

You agree that you will not use Gelio in conjunction with any activity that could be considered money laundering.

We are not responsible for any breaches of licensing or other laws as a result of the public using our service. You as the ultimate vendor take full responsibility.

Use of Communications

You agree that we can use anything you send to us for any purpose we need to. This may include development and improvement of our services or technology or marketing.

Warranty and Liability

We provide Gelio to you on the agreed commercial terms and what you see is what you get. We do our best to ensure the platform runs smoothly at all times, but we cannot guarantee this in the case of circumstances beyond our control. You agree we are not responsible if things go wrong. Please contact us if you experience any problems and we will try our best to help.

Gelio or any connected parties will not be responsible for any loss or damage that could be caused from using it. If a court decides otherwise, our legal liability will be limited.

Governing Law

These terms are governed by the laws of England & Wales and you agree that any legal action arising from them shall be conducted in the United Kingdom.

Indemnity

If you use Gelio, break any law or violate anybody’s rights then you agree that it’s not our fault and that you will pay our associated legal or other costs arising from your actions.

Other

If any of the terms on their own are held not to be enforceable, then the remaining terms will still stand. If we don’t enforce them it doesn’t mean we won’t and we still can at any time.

Our Terms of Service have been presented in a clear and concise format. This is still a legal document, which requires your full attention and agreement. If you have any questions or require further clarification please do not hesitate to contact us.
